Terms & Conditions

These Terms & Conditions (“Terms”) form a binding agreement between you and ActivityLedger Technologies Pvt. Ltd. (“ActivityLedger”, “we”, “us”) governing your access to and use of the ActivityLedgerplatform, apps and website (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorised to bind it.

ActivityLedger helps adventure-activity operators record bookings, track commissions and expenses, and calculate net earnings and per-owner payout splits. The Service is a record-keeping and calculation tool based on the data you enter; it does not provide accounting, tax, legal or financial advice, and does not process guest payments on your behalf.

One account represents one tenant. You are responsible for the accuracy of your registration details, for all activity under your account, and for keeping your credentials secure. You must be at least 18 and able to form a binding contract.

• Owners may invite and manage additional users (such as booking managers) and set their roles and permissions.
• You are responsible for how the users you invite use the Service, and for the roles you grant them.

Paid plans grant a set of entitlements (features and limits). Fees, billing period and included entitlements are shown at purchase. Unless stated otherwise:

• subscriptions renew automatically until cancelled;
• fees are exclusive of applicable taxes, which you are responsible for;
• downgrading or cancelling takes effect at the end of the current billing period and, except where required by law, fees already paid are non-refundable; and
• we may change pricing or plan entitlements on reasonable notice.

You agree not to:

• break the law or infringe others' rights when using the Service;
• access another tenant's data or attempt to bypass tenant isolation or security;
• reverse engineer, resell or overload the Service or its API; or
• upload malicious code or content you have no right to store.

You retain ownership of the data you enter (bookings, customers, drivers, agents, commissions, expenses and payout settings). You grant us a limited licence to host and process it to provide the Service. You are responsible for:

• the accuracy of prices, commissions, expenses and owner share percentages;
• having a lawful basis to record the personal data of guests, drivers and agents, for whom you act as the controller; and
• the financial and tax decisions you make — payout figures are calculations based solely on the data you provide.

The Service, including its software, design, and brand, is owned by ActivityLedger and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that calculated figures will meet your accounting or regulatory needs.

To the fullest extent permitted by law, ActivityLedger will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim.

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period, after which it may be deleted per our retention practices.

We may update these Terms from time to time. When changes are material we will update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Dehradun, Uttarakhand will have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
